End User License Agreement

1. Agreement to Terms

This End User License Agreement ("EULA") is a legally binding agreement between you ("Licensee", "you", "your") and Fnctn Inc., operating as Weavz ("Licensor", "we", "us", "our"). By accessing, installing, or using any part of the Software, you acknowledge that you have read, understood, and agree to be bound by this EULA.

"Software" refers collectively to the Weavz SaaS platform, software development kits (SDKs), application programming interfaces (APIs), documentation, and all related tools and services. This EULA supplements our Terms of Service and Privacy Policy, which are incorporated by reference. In the event of a conflict between this EULA and the Terms of Service, this EULA shall prevail with respect to software licensing matters.

2. Definitions

  • Software: The Weavz platform, including all SaaS services, SDKs, APIs, documentation, tools, and updates provided by the Licensor.
  • SaaS Platform: The hosted Weavz integration infrastructure accessible via the web dashboard and API endpoints.
  • SDKs: The Weavz TypeScript SDK and Python SDK distributed for programmatic access to the platform.
  • Self-Hosted Deployment: An on-premises or private cloud installation of the Software available under a separate Enterprise agreement.
  • Code Execution Environment: The sandboxed runtime provided by the platform for executing user-supplied code (JavaScript, Python, Shell).
  • MCP Server: A Model Context Protocol server hosted by the platform that exposes integration tools to AI agents and applications.
  • End User: An individual who interacts with the Software through the Licensee's application or workspace, identified via an external ID or authentication credential.
  • Organization: The Licensee's account entity that owns workspaces, connections, API keys, and billing subscriptions.
  • Third-Party Services: External applications and platforms integrated with the Software (e.g., Slack, Google Sheets, Salesforce).

3. License Grant

3.1 SaaS Platform

Subject to this EULA and payment of applicable fees, the Licensor grants you a non-exclusive, non-transferable, revocable license to access and use the SaaS Platform for your internal business purposes. This license is scoped to your Organization and subject to the limits of your subscription tier, including connection counts, action quotas, workspace limits, and member seats.

3.2 SDKs

The Weavz TypeScript SDK and Python SDK are distributed under the MIT License. You may use, copy, modify, and distribute the SDKs in accordance with the MIT License terms. The MIT License applies solely to the SDK source code and does not extend to the SaaS Platform, APIs, or any proprietary components of the Software.

3.3 Self-Hosted Deployment

Self-hosted deployment of the Software is available only under a separate Enterprise agreement executed between the Licensee and the Licensor. No right to self-host is granted under this EULA without such an agreement.

4. API and Integration Usage

You are solely responsible for safeguarding your API keys and ensuring they are not exposed in client-side code, public repositories, or shared environments. All actions performed using your API keys are your responsibility regardless of who initiated them. The platform enforces rate limits per your subscription tier; attempts to circumvent these limits may result in suspension.

When you connect Third-Party Services through the platform, you remain subject to those services' terms of service and usage policies. The Licensor is not responsible for changes, outages, or policy enforcement by Third-Party Services. Third-party credentials stored by the platform are encrypted at rest using AES-256 encryption.

5. MCP Server Hosting

The platform allows you to create and operate MCP Servers that expose integration tools to AI agents and applications. You are responsible for securing MCP bearer tokens and controlling which agents and applications have access to your MCP Servers. The Licensee is solely responsible for all actions taken by AI agents that connect to their MCP Servers, including any data modifications, messages sent, or third-party API calls made through MCP tools.

6. Code Execution Environment

The platform provides a sandboxed environment for executing user-supplied code in JavaScript, Python, and Shell. Code execution is subject to resource limits defined by your subscription tier, including execution time, memory, and concurrent sessions. You agree not to use the Code Execution Environment to:

  • Mine cryptocurrency or perform computationally abusive operations
  • Launch denial-of-service attacks or conduct network scanning
  • Store, distribute, or execute malware, viruses, or malicious code
  • Attempt to escape the sandbox or access underlying infrastructure
  • Process or store data in violation of applicable laws or regulations

The Licensor reserves the right to terminate any code execution session that violates these restrictions or poses a risk to platform stability.

7. Data Processing and Storage

7.1 Credential Storage

Third-party service credentials (OAuth tokens, API keys) are encrypted at rest using AES-256 encryption with per-environment keys. Credentials are scoped to your Organization and are not accessible by other tenants.

7.2 Data Persistence

The platform provides Storage and Key-Value Store services for persisting data across action executions. Data stored through these services is scoped to your Organization and workspace. You are responsible for the content stored and must ensure compliance with applicable data protection regulations.

7.3 Activity Logging

The platform logs action executions, trigger events, and API requests for debugging and billing purposes. Log retention periods range from 7 to 365 days depending on your subscription tier. Logs may include timestamps, integration names, action names, and success/failure status.

7.4 Webhook Data

If you configure triggers or webhooks, incoming data from Third-Party Services is processed by the platform on your behalf. You are responsible for ensuring that webhook data handling complies with your obligations to your own users and applicable regulations.

8. End User Responsibilities

The platform provides an end user identity system that allows you to manage individuals who interact with your application through Weavz. You are responsible for obtaining all necessary consents from your End Users before connecting Third-Party Services on their behalf or processing their data through the platform. You must ensure that your use of the platform's connect portal and end user management features complies with applicable privacy and data protection laws. You agree to indemnify the Licensor against any claims arising from your End Users' activities on the platform.

9. Restrictions

Except as expressly permitted in this EULA, you shall not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the proprietary components of the Software
  • Use the Software to build a competing integration platform or service
  • Circumvent or attempt to circumvent subscription tier limits, rate limits, quotas, or other usage restrictions
  • Share, transfer, or sublicense your credentials, API keys, or account access to unauthorized parties
  • Use the platform's integrations to distribute spam, malware, or engage in any activity that violates Third-Party Service terms
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software

10. Intellectual Property

The Weavz platform, including its architecture, source code, documentation, and all proprietary components, is the exclusive property of Fnctn Inc. and is protected by applicable intellectual property laws. All rights not expressly granted in this EULA are reserved by the Licensor.

The SDKs are distributed under the MIT License as described in Section 3.2. You retain all rights, title, and interest in your data, code, configurations, and content processed through or stored on the platform.

11. Open Source Acknowledgment

The Weavz SDKs are released under the MIT License. The Software may include or depend on third-party open source components, each governed by its own license terms. A list of third-party open source components and their respective licenses is available upon request at [email protected].

12. Subscription Tiers and Billing

The Software is offered across five subscription tiers: Free, Pro, Team, Scale, and Enterprise. Each tier defines specific limits for connections, actions, workspaces, members, MCP servers, and other resources. Usage exceeding your tier's included limits may incur overage charges as described in your subscription terms.

The Licensor reserves the right to modify pricing or tier definitions with at least 30 days' prior notice. If you downgrade your subscription tier, resources exceeding the new tier's limits may be suspended until brought into compliance.

13. Term and Termination

This EULA is effective from the date you first access or use the Software and remains in effect until terminated. Either party may terminate this EULA at any time. You may terminate by discontinuing use of the Software and closing your account. The Licensor may terminate or suspend your access for breach of this EULA, non-payment, or misuse of the platform.

Upon termination, your license to use the Software immediately ceases. The Licensor will delete your data within 30 days of termination, except as required by law or legitimate business purposes. Sections 9, 10, 14, 15, 16, 17, 18, and 20 survive termination.

14. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. THE LICENSOR SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT THIRD-PARTY INTEGRATIONS WILL REMAIN AVAILABLE OR COMPATIBLE, OR THAT CODE EXECUTION RESULTS WILL BE ACCURATE OR RELIABLE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SOFTWARE. THIS LIMITATION APPLIES TO DAMAGES ARISING FROM ACTIONS TAKEN BY AI AGENTS VIA MCP SERVERS, FAILURES OR CHANGES IN THIRD-PARTY INTEGRATIONS, CODE EXECUTION RESULTS, AND DATA PROCESSING THROUGH THE PLATFORM.

THE LICENSOR'S AGGREGATE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE TOTAL FEES PAID BY THE LICENSEE TO THE LICENSOR DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless Fnctn Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Software
  • Your violation of this EULA
  • Your infringement of any third-party rights
  • Code executed in the sandbox environment on your behalf
  • Actions performed through integrations using your credentials
  • Activities of your End Users on the platform

17. Export Compliance

You agree to comply with all applicable export control laws and regulations, including the U.S. Export Administration Regulations (EAR) and sanctions administered by the Office of Foreign Assets Control (OFAC). You shall not access or use the Software from any country, territory, or entity subject to U.S. embargoes or sanctions, and you represent that you are not on any U.S. government restricted party list.

18. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

19. Modifications

The Licensor reserves the right to modify this EULA at any time. Material changes will be communicated with at least 30 days' notice via email or through the platform. Your continued use of the Software after the effective date of any modifications constitutes acceptance of the updated EULA. If you do not agree to the changes, you must discontinue use of the Software.

20. Severability and Entire Agreement

If any provision of this EULA is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Fnctn Inc. regarding the Software and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
